R20-140 1 RESOLUTION R20-140 2 3 A RESOLUTION OF THE CITY OF BOYNTON BEACH, 4 FLORIDA, APPROVING THE CERTIFICATE REGARDING 5 SUBSTANTIAL COMPLETION AND FINAL ACCEPTANCE 6 FOR CITY HALL/LIBRARY PROJECTS AND THE NOTICE OF 7 COMPLETION FOR THE CITY HALL/LIBRARY PROJECTS 8 CONSTRUCTED AS PART OF THE TOWN SQUARE PROJECT 9 AND AUTHORIZING THE MAYOR TO SIGN THE NOTICE OF 10 COMPLETION AND RELATED DOCUMENTS WITH RESPECT 11 TO THE CITY HALL/LIBRARY PROJECT; AND PROVIDING 12 AN EFFECTIVE DATE. 13 14 WHEREAS, the agreement with CFP Boynton Beach Town Square, LLC for the 15 City Hall/Library construction requires the City to approve a Certificate Regarding 16 Substantial Completion and Final Acceptance Notice of Final Completion to finalize the 17 construction of the project; and 18 WHEREAS, all of the buildings have received the final Certificate of Occupancy 19 and Final Approval by staff and are fully operational. 20 NOW,THEREFORE,BE IT RESOLVED BY THE CITY COMMISSION OF 21 THE CITY OF BOYNTON BEACH, FLORIDA, THAT: 22 Section 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as 23 being true and correct and are hereby made a specific part of this Resolution upon adoption 24 hereof 25 Section 2. The City Commission of the City of Boynton Beach, Florida does 26 hereby approve the Certificate Regarding Substantial Completion and Final Acceptance for 27 City Hall/Library projects and the Notice of Completion for the City Hall/Library projects 28 constructed as part of the Town Square Project and authorize the Mayor to sign the Notice of 29 Completion and related documents with respect to the City Hall/Library project. In addition to the foregoing, Section 1.24 and Section 9.13 of the City Hall/Library Lease contain certain provisions regarding the Final Acceptance of the City Hall/Library Project and Section 12.4 of the City Hall/Library Development Agreement provides certain events that CFP and the City must agree shall have occurred in order to establish the Final Acceptance of the City Hall/Library Project. In accordance with Section 1.24(a) of the City Hall/Library Lease and Section 12.4(a) of the City Hall/Library Development Agreement, the City has issued all certificates of occupancy for the City Hall/Library Project. vii. All Punch List items for the City Hall/Library Project have been completed or have had 150% of the estimated costs hereof have been withheld by the Trustee in the Project Fund in accordance with Section 12.4(c) of the City Hall/Library Development Agreement. 2 ix. The Design Builder and E2L have submitted the application for final payment for the City Hall/Library Project. x. In accordance with Section 1.24(e) of the City Hall/Library Lease and Section 12.4(e) of the City Hall/Library Development Agreement, the period for filing construction liens for the City Hall/Library Project has expired and none has been filed, or releases or discharges of construction liens have been obtained. xi. The Architect has issued its "Certificate of Final Completion" for the City Hall/Library Project, and CFP has received the certificate of any other architect or engineer reasonably requested by CFP. xii. The Design Builder has issued a certificate that(i)the City Hall/Library Project has been finally completed in accordance with the Contract Documents and (ii) no Hazardous Substances were incorporated in the structure of the City Hall/Library Project. xiii. CFP has received a written report from E2L and the Design Builder showing the allocation of City Hall/Library Project costs among the categories of the City Hall/Library Project Budget and the remaining specified dollar amount of the City Hall/Library Project contingency and the undisbursed portion of the City Hall/Library Project Development Fee. xiv.
