11 PROVIDING AN EFFECTIVE DATE.

14 WHEREAS, a LUCAS 2 system is an automated cardiac compression device that
15 allows the effective delivery of cardio pulmonary resuscitation (CPR) to victims of sudden
16 cardiac arrest; and
17 WHEREAS, Boynton Beach Fire Rescue is committed to providing the highest level
18 bf emergency response and by using the LUCAS 2 systems it will allow our first responders
19 'to deliver automated compressions which will deliver higher blood flow levels to the brain
20 and heart compared to manual compressions; and
21 WHEREAS, pursuant to City of Boynton Beach Code Section 2-56,1 (d), this
22 procurement is exempt from the bid requirements as a sole source purchase; and
23 WHEREAS, the City Commission of the City of Boynton Beach, upon
24 recommendation of staff, deems it to be in the best interests of the citizens and residents of
25 the City of Boynton Beach, to approve the sole source purchase from Physio Control, Inc., of
26 six (6) LUCAS 2 Chest Compression Systems for a total expenditure of $92,185 and to
27 authorize the City Manager to execute the three (3) year Technical Service Support
28 Agreement with Physio Control, Inc.
29 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF

6 Section 3. The City Manager is authorized to execute the three (3) year Technical
7 Service Support Agreement with Physio Control, Inc., for service on the purchased
8 equipment.
9 Section 4. This Resolution shall become effective immediately upon passage.

The Technical Service Support Agreement ("Agreement") is made and entered into as of the date last signed below ("Effective Date") by and
between Physio-Control, Inc, 11811 Willows Road NE, Redmond, WA 98052, and Customer listed above.
Physio-Control will provide service on the equipment identified below and according to the Terms and Conditions as listed on the reverse and
incorporated into this Agreement. Upon shipment of the equipment, Schedule A listing the covered equipment will be forwarded to the End User
and incorporated into this Agreement.
Term: Three (3) years beginning on the Effective Date. Year 1 is the manufacturer's warranty period. Years 2 and 3 are the extended service plan.

forth in this document and its attachments. Physio-Control, Inc, agrees to furnish the goods and services ordered by the Buyer only on these
terms, and the Buyer's acceptance of any portion of the goods and services covered by this document shall confirm their acceptance by the
Buyer, These terms constitute the complete agreement between the parties and they shall govern any conflicting or ambiguous terms on the
Buyer's purchase order or on other documents submitted to Physio-Control, Inc, by the Buyer. These terms may only be revised or amended by a

Pricing
Unless otherwise indicated in this document, prices of goods and services covered by this document shall be Physio-Control, Inc. standard prices
in effect at the time of delivery, Prices do not include freight insurance, freight forwarding fees, taxes, duties, import or export permit fees, or any

Inspections
Claims by the Buyer for damage to or shortages of goods delivered shall be made within thirty (30) days after shipment by providing Physio-
Control, lnG, with written notice of any deficiency, Payment is not contingent upon immediate correction of any deficiencies and Physio-Control,
Inc, prior approval is required before the return of any goods to Physio-Control, Inc.,
Warranty
Physio-Control, Inc, warrants its products in accordance with the terms of the standard Physio-Control, Inc, product warranty applicable to the

Dear Mr. Landress:
In response to your recent request, I am writing to confirm that Physio-Control, Inc.
is the sole source provider for the L1FEPA~ defibrillator, defibrillator/monitor, and
monitor/defibrillator family of products in your marketplace; including, L1FENE~
Data Management Solutions, L1FEPAK brand accessories, repair parts, upgrades,
and factory authorized services. With the exception of the L1FEPAK CR Plus
Automated External Defibrillator, which is also available from Physio-Control's
authorized resellers, Physio-Control does not utilize the services of any authorized
distributors in the sale of our products in your marketplace.

LUCAS is designed and manufactured by JOLlFE AB in Sweden and distributed
